1. Acceptance of Terms

By creating an account or using the SaaS solution provided by Ramp AI ("Service"), you agree to be bound by these Terms. If you are entering into this agreement on behalf of a company, you represent that you have the authority to bind that entity.

2. Nature of AI Services

This is your primary shield against bad AI output. You acknowledge that the Service uses experimental Artificial Intelligence ("AI") technology. You agree that:

  • Accuracy: The Service may produce output that is inaccurate, offensive, or "hallucinated." We make no warranties regarding the accuracy or reliability of the Output.
  • No Reliance: You should not rely on the Service for medical, legal, financial, or other professional advice. You are solely responsible for verifying all Output before using it.
  • Third-Party Models: We may use third-party AI providers (e.g., OpenAI, Anthropic). We are not liable for service interruptions or data handling issues caused by these third-party providers.

3. User Content & License

This section protects your right to use their data to run your business.

  • Ownership: You retain ownership of the data you input ("Input").
  • License to Us: By using the Service, you grant Ramp AI a worldwide, non-exclusive, royalty-free license to access, use, host, and process your Input and Output solely for the purpose of providing, maintaining, and improving the Service.
  • Prohibited Content: You represent that you will not input data that violates the intellectual property or privacy rights of any third party.

4. Acceptable Use Policy

You agree not to use the Service to:

  • Generate content that is unlawful, defamatory, or fraudulent.
  • Reverse engineer, decompile, or attempt to derive the source code or underlying weights of the AI models.
  • Build a competitive product using our Service or Output.

5. Limitation of Liability

To the maximum extent permitted by law:

  • Ramp AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data.
  • Our total cumulative liability for any claims arising out of these Terms shall not exceed the amount you paid us in the three (3) months preceding the claim.

6. Indemnification

You agree to indemnify, defend, and hold harmless Ramp AI and its officers, directors, and employees from any claims, damages, liabilities, and expenses (including legal fees) arising out of:

  • Your use of the Service.
  • Your violation of these Terms.
  • Any claim that your Input or use of the Output infringes the rights of a third party.

7. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Termination

We reserve the right to suspend or terminate your access to the Service at our sole discretion, without notice, for any conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for no reason at all.

9. SMS / Text Messaging

If you provide your mobile phone number and opt in, Ramp AI LLC may send you text messages ("SMS") related to your account and our Service, including:

  • Account notifications — sign-in alerts and account activity notifications.
  • Onboarding notifications — guidance and updates while you set up and configure the Service.
  • Customer-support notifications — responses to support requests.

By opting in, you acknowledge and agree that:

  • Message frequency varies depending on your account activity and support needs.
  • Message and data rates may apply, as charged by your mobile carrier.
  • You can reply STOP at any time to cancel and stop receiving text messages, and reply HELP for help.
  • Consent to receive SMS messages is not a condition of purchasing any goods or services.
  • Carriers are not liable for delayed or undelivered messages.
